Sprint Nextel (NYSE: S ) shareholders voted today to approve the company's merger agreement with Japanese telecom SoftBank, Sprint announced today.
The company said that 98% of the votes cast today voted in favor of the transaction. Those votes accounted for around 80% of Sprint's outstanding common stock as of April 18.
"The transaction with SoftBank should enhance Sprint's long-term value and competitive position by creating a company with greater financial flexibility," said Sprint CEO Dan Hesse.
SoftBank had been battling satellite-TV provider DISH Network (NASDAQ: DISH ) �since April 15 for the right to buy Sprint. It was only last week that SoftBank seemed destined to come out on top when it sweetened its proposal with an additional $4.5 billion in cash for shareholders.
SoftBank's original agreement with Sprint was for $20.1 billion for 70% of the No. 3 U.S. wireless provider. The voted-upon agreement raised that price to $21.6 billion for a 78% slice of Sprint, and it will put up to $16.64 billion into the pockets of Sprint stockholders.

One thing investors need to watch is Pengrowth's sky-high payout ratio, which, at present levels, is clearly unsustainable. Pengrowth's asset sales will help paper over the shortfall in the near term, but it's not good policy to pay out so much in the middle of a major exploration project. The company has no plans to cut its dividend, in spite of anticipated production declines in the near term, which stands in stark contrast to competitor Penn West (NYSE: PWE ) , which slashed its dividend by nearly half�in a wide-ranging announcement earlier this week. Both Pengrowth and Penn West trade at substantial discounts to book value, but at least Pengrowth's monster dividend gives investors something more substantial while waiting for big exploration projects to bear fruit. However, given the company's multi-year weakness, it will take a strong stomach, and a very firm belief in Pengrowth's prospects, to jump in today.

The US market has not been immune to China shocks in 2013 as a plunge in the Japanese market on May 24 was a reaction in part to more weak manufacturing data out of China. But just a month later, the correction in the US market was over as it was no longer overbought (see chart). The weekly on-balance volume (OBV) on the bottom of the chart has continued to make higher highs, line a, since early in 2012.

The daily on-balance volume (OBV) formed a bullish divergence, line c, at the lows. The bottom was confirmed by the move through the downtrend, line b, and the July high. The next level to watch is the 38.2% Fibonacci retracement resistance at $81.54 and then the 50% at $82.54. In any event, the biggest challenge that Obamacare faces is getting its Health Insurance Marketplace up and running by Oct. 1. Although private exchanges from Marsh & McLennan (NYSE: MMC ) subsidiary Mercer as well as Towers Watson (NYSE: TW ) have done a good job of getting Aetna, UnitedHealth, and other popular insurers to participate in their programs, the reception that public exchanges have gotten has been far less favorable. Without a smooth launch in less than three months, Obamacare could find itself facing much greater criticism than it is today.
